We have annual affordable retainers available so that our attorneys can answer your questions as they come up. We can also prepare for you Employment agreements, Shareholder agreements and forms to limit officer and director liability.

Affordable Corporate Compliance Programs

To obtain the legal protection that you thought you were getting when you incorporated and to prevent the Piercing of the important Corporate Veil of Protection, we have established a Corporate Compliance Service to provide business compliance solutions for corporations -- insuring that the necessary legal formalities are met.

For a single annual fee for each legal entity, we provide companies with the following basic services:
Prepare standard annual meeting minutes for shareholders and directors of the company.
Act as the service agent for the company.
Provide an annual company audit and compliance questionnaire used to identify compliance issues and keeping the corporate records accurate and current.
Make available conference room facilities for meetings.

Additional services are provided at a reasonable cost to our clients, including private company stock transfer services, director and member packets and guidebooks and special assistance in preparing shareholder agreements, dependent care assistance and medical reimbursement plans, stock option and other benefit programs.

Business Agreements

We can provide these documents for you including leases: agreements for the purchase or sale of the business or real estate, non compete agreements, confidentiality agreements, employment agreements, security agreements, and trade secret agreements.

Litigation: We are aggressive, cost conscious and very experienced (25 years) in Civil Litigation in Massachusetts Courts.

Business Tort Litigation: We handle Shareholder disputes; officer and director conflict of interest matters, and defense of chapter 93 "unfair and deceptive trade practices" cases.

Commercial Disputes: We have experience representing clients involving commercial debt collections, creditors rights and UCC matters as well as breach of contract actions.

Employment Litigation: We represent employers in superior and federal court as well as the Massachusetts Commission Against Discrimination. We represent employers in defending actions brought against them for wrongful termination, all forms of discrimination, and enforcing covenants not to compete.
